[CTC Contract R&D]

Unique Contract R&D Services presented by
the China-America Technology Corp. (CTC)
Background:
Through a long standing relationship with the Chinese Academy of sciences and other leading universities in China, CTC is able to offer members access to over 60,000 top scientists in China.

Through this plan, corporate members may contract for research and development projects to qualified scientists and engineers at great cost savings to the subscribing corporation.

Preliminaries:
Membership is accepted only upon preliminary determination by CTC that the subscribing member's indicated field of interest is within the scope of the scientist pool in China.

Confidentiality:
All info supplied by the subscribing member will be protected by a confidentiality agreement to be executed between CTC and the member. The confidentiality agreement extends to the research team in China.

Search:
The search is conducted based on the brief written description of the project, its length & scope, required lab instrumentation, tools and the desired outcome of the project.

R&D Team Background:
CTC shall provide a brief anonymous description of the background of the laboratory team, their instrumentation, their previous achievements, and a preliminary estimate of the time and cost for the project.

Refund Policy:
Members not satisfied with the results of this search may request a refund of 60% of the subscription fee, or may request a new search based on modified project description. If after a second search, the results are not satisfactory, members may request a refund of 30% of the subscription fee, or may request a final third search, with no refunds thereafter.

Negotiations:
CTC shall negotiate the actual terms for the contract, spelling out the obligations on the part of the R&D team, timeline markers for the progress of the project, and the terms of payment for the contract work. Intellectual property rights to any invention made as a result of the contract work shall be assigned to the contractor in return for negotiable royalty rights.

Overseer:
CTC shall oversee the research, and make periodic progress reports to the subscribing member. CTC shall not bear the cost of any shipment of prototypes or samples during the course of the project.

Administrative fee
CTC shall charge an administrative fee of 15% - 20% of the total project cost, depending on the size of the contract, with a minimum of US$ 2,000.

Non-circumvention
The subscribing member agrees, within a period of five years, not to engage in any related contractual work with the R&D team in China without the knowledge and participation by CTC.
